is owned and co pyrighted by BARCO or by third pa rty suppliers. Your lic ense confers no title or ownership and is n ot a sale of any rights

in the Software or its documentation.

By installing, executing and/o r using the Software, either as initial version or as an upgrade, update, patch or enhancement of a prior

release, this Software Lic ense sh all supersede any terms and co nditions pre viously agreed upon (whethe r or not in writing) between Barco

and you with respect to the subjec t matter of this Software Licen se and such previous t erms sha ll from the da te hereof cease to have any

force or effect; provided, however that thi s Software License sha ll not be co nstrued as a renunc iation, discharge or waiver of any right or

remedy prov ided in any terms and conditions previously agreed upon with respect to a failure of either part y to perform any of its obligations

1. This Softwa re License is between you an d BARCO NV, a co rporation organized and existing under the laws of Be lgium registered

under number BE 0473.191.041 , Commercial Compan ies’ Register of Kortrijk, having its registered of ce Presiden t Kennedypar k, 35ﬁ

at B-8500 Kortrijk, Belgium (" Barco") for the use of the Sof twar e.

You hereby undertake to inform all users authorized by y ou to make use of the comput ing device on which the Software is loaded/in-

stalled (“Authorized Users”) of the terms of this Software License and to bind all Authorized Users t o accept all such terms of this

Software License as applies to them.

2. Barco grant s you a limited, non-exclusive, non-a ssignab le, non-t ransfer able user license (without the righ t to grant subli censes).

Unle ss speciﬁcally agreed upon otherwise between you and Barco or unless speciﬁcally allowed by the Software (or its DRM man-

agement) itself, i ) the license unde r this Software License a pplies to one (1) copy of the Software to be used on one single compu tin g

device and ii) installa tio n on a computing device that may be concurrently a ccessed by more than one user shall no t const itu te a

permitted use and a sep arate license is required for each act ive user connected to a computing device on which the Software is b eing

used.

You and Authorize d Users are entitled to use the Software f or the purposes and in the manner set out in this Softwar e License (and

documentation), but neither you nor any Authorized User are entitled to: (i) sell or grant a security int erest in the Software to other

parties in any way, or t o rent, lease or sub-license the Software to ot hers without th e expres s prior written conse nt of Barco; or (ii)

exploit the Software or a ny of i ts component parts for any commercial purpose, other than use by y ou and/or Authorized U sers of the

Software.

Neither you nor any Authorized User may, wheth er in whole or in part, copy, tran slate, reverse engineer, derive source code from,

mo dif y, disa ssemble, decompil e, create de rivative w orks based on the Software, or remove any proprietary notices or labels on the

Software, save as may be permitted by law or this Software Licen se, witho ut the prior consent, in writing, of Barco.

3. Barc o (and Bar co’s licensors, as appropriate) retain ownership of all intell ectual property rights in the Software and any c opies you

or any Authorized User may make of such Software. The Software is protected by na tional copyright laws, international copyr ight

treatie s and conventions, and other applicable laws. All rights not e xpre ssly licensed to you in this Software License are reserved

to Barco and Barc o’s licen sors, as appropriat e. The Soft ware contains certain other licensed materials and Barco ’s licensors may

protect their righ ts in the event of an y violatio n of this Software License.
